Minnesota LLC Articles of Organization – Organizer
M.S. § 322C.0201, Subd. 1 identifies that a Minnesota limited liability company is formed by an Organizer filing Minnesota LLC Articles of Organization with the office of the Minnesota Secretary of State, by providing as follows:
Subdivision 1. Organizers.
One or more persons may act as organizers to form a limited liability company by signing and filing with the secretary of state articles of organization.
Minnesota LLC Articles of Organization – Contents
M.S. § 322C.0201, Subd. 2 identifies the required contents of Minnesota LLC Articles of Organization, by providing as follows:
Subd. 2. Required contents of articles of organization.
Articles of organization must state:
(1) the name of the limited liability company, which must comply with section 322C.0108;
(2) the street address of the initial registered office and,
- if the limited liability company has an agent for the service of process,
- the name of the agent for service of process of the company at the registered office; and
(3) the name and street address of each organizer.
Under M.S. Chapter 322C, Minnesota LLC Articles of Organization are sufficient if they include the three basic articles recited above.
Minnesota LLC Articles of Organization – Business Purpose
Under M.S. Chapter 322B, it was common for LLC Articles of Organization to recite that the Company would be organized for either:
- general business purposes, or
- some specific purpose.
However, under M.S. Chapter 322C, a Minnesota limited liability company:
- may be formed for any lawful purpose, and
- need not have a business purpose.

M.S. § 322C.0201, Subd. 3 identifies that LLC Articles of Organization may contain certain optional provisions, by providing in part as follows:
Subd. 3. Optional contents of articles of organization.
Subject to section 322C.0112, subdivision 3, articles of organization may also contain statements as to matters other than those required by subdivision 2. . . .
Minnesota LLC Articles of Organization – Duration of the Company
While there is no requirement that Minnesota LLC Articles of Organization filed under M.S. Chapter 322C state a term of duration – either limited or perpetual – the fill-in-the-blank Minnesota LLC Articles of Organization form offered by the office of the Minnesota Secretary of State contains a statement of perpetual duration.
